Corporate Social Responsibility
Our CSR Policy
At Keyem Infra Project our CSR initiatives aren’t just about giving back—they’re about building forward. Every project we undertake is an opportunity to improve lives, strengthen resilience, and leave a meaningful impact beyond the blueprint.
Context

Keyem Infra Project Private Limited. (hereinafter referred to as Keyem) has developed a CSR Policy (hereinafter referred to as Policy) in tune with its objective, principles and values, for defining its responsibility as a socially and environmentally responsible corporate citizen. The Policy lays down the principles and mechanisms for undertaking various programs in accordance with Section 135 of the Companies Act 2013 along with Companies (Corporate Social Responsibility Policy) Rules, 2014 (hereinafter CSR Rules).

The Policy shall apply to all the CSR programs and activities undertaken by Keyem for the benefit of various sectors of the society. KEYEM believes in giving back to the same community that enables them to run its business Upholding several social commitments, it has framed its CSR Policy in accordance with section 135 of the Companies Act, 2013, and the Rules set out in companies (Corporate Social Responsibility Policy) Rules, 2014. This policy intends to provide the basis for all round activities to achieve the sustainable development. It also seeks to promote continuous dialogue with the community as a part of its social commitment.

Corporate Social Responsibility is a self-regulatory form of corporate conscience included in business models whereby Corporates aim to balance with force of law and ethical standards according to national and international norms. All Companies in this regard focus on corporate sustainability to reflect competitiveness. The overall aim is to impact the society positively while get the most out of the creation of shared value for the shareholders, stakeholders and even employees.  This provides an opportunity to give back to the society and help in Nation building. Hence, the concept of Corporate Social Responsibility was included in the Companies Act, 2013 and its related Rules (the ‘Act’) which mandated that certain Companies spend a requisite percentage of their profits towards certain activities given under the Act.

The Company has always endeavored to conduct its business responsibly and strive to have in place a process to integrate social, environmental and educational and community development into our business operations and remains committed to undertaking CSR activities in both letter and spirit in accordance with the provisions of Section 135 of the Act.

Scope & Coverage

The CSR activities of the Company shall include but not limited to any or all the sectors/activities as may be prescribed by Schedule VII of the Companies Act, 2013 amended from time to time. Further, the Company will review the sectors/activities from time to time and make additions/ deletions/ clarifications to the above sectors/activities.

Objectives

The main objective of the CSR Policy is to lay down guidelines for the Company to make CSR as one of the key focus areas to adhere to global interest in environment and that focuses on making a positive contribution to society through effective intervention and sustainable development programs. The Policy intends to strive for economic development to positively impact the society at large with a minimal natural resource footprint and to embrace responsibility for the Company’s actions and encourage a positive impact through its CSR activities by promoting education, skill development, rural development, Slum-area development, building homes, community improvement, poverty eradication, sanitation etc.

CSR Activities

In terms of the CSR rules issued by the Ministry of Corporate Affairs (MCA) the Company will be focusing on undertaking the project /programs /activities listed below, as specified in Schedule VII to the Act excluding activities undertaken in pursuance of normal course of business of a Company:

  1. Social business projects and Rural development projects.
  2. Eradicating hunger and poverty and providing sanitation.
  3. Promotion of education including vocational education.
  4. Promoting gender equality and empowering women including setting up homes, hostels and other allied facilities for women and senior citizens.
  5. Reducing child mortality and improving maternal health.
  6. Combating human immunodeficiency virus, acquired immune deficiency syndrome, malaria and other diseases.
  7. Ensuring environmental sustainability including contribution to the funds set-up by the Government towards maintaining quality of air, soil and water.
  8. Employment enhancing vocational skills.
  9. Contribution to the Prime Minister’s National Relief Fund or any other fund set up by the Central Government or the State Governments for socio-economic development and relief, and funds for the welfare of the Scheduled Castes, the Scheduled Tribes, other backward classes, minorities and women.
  10. Measures towards the welfare of armed forces veterans, war widows and their dependents.
  11. Such other matters as may be prescribed.

 

Special Focus of Activities
Keeping in mind on the above broad framework of activities, the CSR committee of the Keyem Board decided to focus on the following activities:
  1. Health Care: Focus on preventive health care in rural areas.
  2. Education: Focus and support in educational infrastructure.
  3. Public Health & Sanitation: Promoting public health and sanitation through direct expenditure.
  4. Water Body Rejuvenation: Revival of water bodies/lakes to ensure sustainable sources for drinking and irrigation.
  5. Vocational Skills Promotion: Supporting employment-enhancing vocational training and skill development.
 
CSR Plan

Each year, a CSR plan will be prepared in consultation with the stakeholders based on needs and gaps under the sectors covered by CSR. This plan will be then tailored to suit the CSR Budget for the financial year. Major activities identified in the plan will be based on such consultations in the beginning of each financial year. The approved and implemented plan is made sure to have an equitable distribution of budget among the above special focus areas.

CSR Budget
Every year, at least 2% of the average profit of the previous 3 years will be set apart as the CSR Budget for the year. Here, allotments will be based on the exercise developing the CSR Plan for the year. Expenditure may be Incurred as:
  1. Direct Expenditure: Direct expenditure on the approved activities.
  2. Tax-Deductible Contributions: Contributions allowable as claimable expenditure under the Income Tax Act.
  3. Support to CSR Trusts: Contributions to Trusts formed for carrying out CSR activities.
  4. Government Program Support: Contributions to Government agencies for specific programs.
  5. Partnering with Recognized Entities: Contributions to recognized, reputable organizations with certified audited statements.
 
Implementation

Senior management oversees implementing the approved CSR plan for the year, setting out the perspective plan, etc under the guidance of the CSR committee of the Board.

CSR Policy

This policy is framed with the larger objective of seeking comprehensive and all-round development of the areas generally where our project sites are located.

Management Commitment

Our Board of Directors, our Management and all our employees subscribe to the philosophy of compassionate care. We believe and act on an ethos of generosity and compassion, characterised by a willingness to build a society that works for everyone. This is the cornerstone of our CSR policy.

Amendments to the Policy

The Board of Directors of the Company shall have the powers to revise/modify/amend this Policy, as and when it deems fit, based on the recommendations to be made by the CSR Committee. Any or all provisions of this CSR Policy are subject to revision/amendment in accordance with the Act on the subject as may be issued from relevant statutory authorities, from time to time.
